Z\u00e1kon je transpoz\u00edciou Smernice Eur\u00f3pskeho parlamentu a Rady (E\u00da) 2022\/2381 z 23. novembra 2022 o zlep\u0161en\u00ed rodovej vyv\u00e1\u017eenosti medzi riadiacimi pracovn\u00edkmi k\u00f3tovan\u00fdch spolo\u010dnost\u00ed a s\u00favisiacich opatreniach. <\/p>\n\n\n\n<p>Vz\u0165ahuje sa na k\u00f3tovan\u00e9 spolo\u010dnosti so s\u00eddlom na \u00fazem\u00ed Slovenskej republiky, ktor\u00fdch akcie s\u00fa prijat\u00e9 na obchodovanie na\u00a0 regulovanom trhu v\u00a0EU a EHP, okrem t\u00fdch, ktor\u00e9 s\u00fa mikropodnikom, mal\u00fdm podnikom alebo\u00a0stredn\u00fdm podnikom. <\/p>\n\n\n\n<p>V s\u00favislosti s\u00a0rodovou vyv\u00e1\u017eenos\u0165ou vo vrcholovom org\u00e1ne (predstavenstvo, dozorn\u00e1 rada) z\u00e1kon zav\u00e1dza ciele stanovuj\u00face percentu\u00e1lny podiel zast\u00fapenia pohlav\u00ed vo vrcholovom org\u00e1ne, ktor\u00e9 k\u00f3tovan\u00e1 spolo\u010dnos\u0165 mus\u00ed dosiahnu\u0165 do 30. j\u00fana 2026. <\/p>\n\n\n\n<p>Z\u00e1kon z\u00e1rove\u0148 ustanovuje opatrenia na dosiahnutie vyv\u00e1\u017een\u00e9ho zast\u00fapenia. K\u00f3tovan\u00e1 spolo\u010dnos\u0165 je povinn\u00e1 v\u00a0r\u00e1mci svojich intern\u00fdch predpisov upravi\u0165 do bud\u00facna proces v\u00fdberu kandid\u00e1tov na vymenovanie alebo vo\u013ebu na vo\u013en\u00e9 poz\u00edcie riadiacich pracovn\u00edkov tak, aby bol zalo\u017een\u00fd na objekt\u00edvnom komparat\u00edvnom pos\u00faden\u00ed po\u017eadovan\u00fdch kvalifika\u010dn\u00fdch predpokladov. Nov\u00e1 \u00faprava sa nebude vz\u0165ahova\u0165 na doteraj\u0161ie pracovnopr\u00e1vne resp. mand\u00e1tne vz\u0165ahy riadiacich pracovn\u00edkov vrcholov\u00e9ho org\u00e1nu v\u00a0danej spolo\u010dnosti.<\/p>\n\n\n\n<p>Ne\u00faspe\u0161n\u00fd kandid\u00e1t menej zast\u00fapen\u00e9ho pohlavia sa m\u00f4\u017ee dom\u00e1ha\u0165 na s\u00fade primeran\u00e9ho zados\u0165u\u010dinenia, n\u00e1hrady nemajetkovej ujmy, ako aj n\u00e1hrady \u0161kody. Obr\u00e1ten\u00e9 d\u00f4kazn\u00e9 bremeno za\u0165a\u017euje k\u00f3tovan\u00fa spolo\u010dnos\u0165. T\u00e1 je povinn\u00e1 preuk\u00e1za\u0165, \u017ee v\u00a0prospech kandid\u00e1ta druh\u00e9ho pohlavia existovali z\u00e1konn\u00e9 d\u00f4vody osobitn\u00e9ho zrete\u013ea.<\/p>\n\n\n\n<p>K\u00f3tovan\u00e1 spolo\u010dnos\u0165 je povinn\u00e1 informova\u0165 o\u00a0rodovom zast\u00fapen\u00ed vo\u00a0svojich vrcholov\u00fdch org\u00e1noch Ministerstvo pr\u00e1ce, soci\u00e1lnych vec\u00ed a\u00a0rodiny Slovenskej republiky raz ro\u010dne. Pokuta za nesplnenie ani v\u00a0dodato\u010dnej lehote je do v\u00fd\u0161ky 100 000 Eur.
